C. Country Club Membership Fees:

Initial Country Club Membership Levels & Fees:

Silver: $1,500,000.00

(one million five hundred thousand dollars), one time upfront fee

Gold: $2,000,000.00

(two million dollars), one time upfront fee

VIP: $2,500,000.00

(two million five hundred thousand dollars), one time upfront fee

Guidelines:
-
During the "sign-up" time-frame for the Country Club, payment of Initial Membership Fee is non-refundable, except for the following:
-
a. during the "Cool-off" time frame (see below) and/or
-
b. if at least 350 Members don't sign-up and pay their initial Membership Fee (see above)

The "Initial Membership Fee" is classified as a simple loan to the Developer (no interest rate, no collateral, no prepayment penalty, no qualifying).

"Up To" 100% of the "Initial Membership Fee" will be rebated back to Members depending on which level of Membership the Member purchases.

The "Initial Country Club Membership Fee" (aka loan to Developer) will be rebated back to the Members (or their estate) on or within twenty (20) years of the Member receiving their Official Membership Package/ID Card to the Country Club Resort (a.k.a. the official start date of their Membership).

Rebating the "Initial Membership Fee" back to the Members will be in the following ways and in any combination, contingent upon how the Member uses the Country Club:

In the form of housing, amenities, entertainment, recreation, products, services, funds (a.k.a. money) etc.

All refunds via housing, amenities, entertainment, recreation, products, services, funds (a.k.a. money) etc. rebated back to the Members will be tracked via the Country Club's computer systems and the Members will receive yearly and/or quarterly statements and be available on the Club's "password protected" Members website.

Rebating the full amount of the "Initial Membership Fee" back to the Members is contingent upon the Members paying their "Monthly Maintenance Fee" and following all "Rules and Regulations" for the Country Club.

Developer reserves the right to make loan payments to Members at any time during the Members membership and in any manner (as described above) during the twenty year loan time frame, which will be applied to the loan from each Member to the Developer.

If Developer has not repaid the Member's back in full for the loans (as noted above) within the twenty (20) year time frame, Developer will do one or more of the following to pay the Members back in full for the loans:

1. Borrow funds to pay Members and/or,
-
2. Sell assets of the Country Club to pay Members and/or
-
3. Sell the Country Club Resort itself to pay Members.

Monthly Country Club Operational Fees for the Different Membership Levels:

Silver: $1,500.00

Guidelines:
-
Monthly fee is paid automatically to the Country Club Resort (on or before the first of every month) via bank transfer and/or wire transfer and/or PayPal.

The Operations fee is used for, but not limited to, the following costs:
-
Labor, services, food and beverages, supplies, tools, equipment, maintenance, repairs, insurance, taxes, licenses, fees, debt payments etc.

The monthly pre-payment of the Country Club Operational Fees is a prerequisite of the Members being able to visit and use the Country Club Resort and all of the perks and services being offered.

Rebating the "Initial Membership Fee" back to Members before twenty (20) years has expired is subject to the Members staying current on their "Monthly Maintenance-Operations Fee."

If any Member does not make their "Monthly Operations Fee" on time, Developer will notify Member by e-mail and mail and give them thirty (30) days to make their payment and become "current."

If a Member does not make the payment for their "Monthly Maintenance-Operations Fee" , then they forfeit the rebate of their "Initial Membership Fee" and their rights to visit and use the Country Club

"Monthly Maintenance-Operations Fee" is subject to yearly increases of up to five percent (5%) for inflation
